1. Introduction
These Terms & Conditions (“Terms”, “Terms and Conditions”) govern access to and use of the digital communication, notification, messaging, website, application, and related services made available by The Niphad Urban Co-operative Bank Ltd Niphad (“Bank”, “we”, “us”, or “our”).
The Bank may use digital communication channels, including WhatsApp Business Platform and Rich Communication Services (“RCS”), where applicable and where such channels are available, for communicating with customers and other authorised recipients. These channels may be used for service notifications, customer communications, transactional alerts, informational messages, authentication-related communications, account servicing, customer support, and other lawful banking-related purposes.
These Terms are intended to establish clear rules regarding the use of our digital communication services. They should be read together with any applicable account terms, banking service terms, notices, policies, regulatory requirements, and product-specific conditions issued by the Bank.
By accessing, registering for, subscribing to, responding to, or otherwise using a digital service provided by The Niphad Urban Co-operative Bank Ltd Niphad, you acknowledge that you have read, understood, and agreed to these Terms to the extent applicable to you.
2. Definitions
For purposes of these Terms:
“Bank” means The Niphad Urban Co-operative Bank Ltd Niphad.
“Customer”, “User”, or “you” means any individual, business, organisation, account holder, authorised representative, recipient, or other person who accesses or receives services or communications from the Bank.
“Services” means the digital communication, messaging, notification, customer-support, authentication, informational, banking-related, and other services made available by the Bank through its authorised digital channels.
“WhatsApp Business Platform” means the business messaging services and infrastructure provided by Meta or its authorised service providers.
“RCS” means Rich Communication Services or related business messaging capabilities made available through participating telecom operators, messaging platforms, aggregators, or technology providers.
“Communication” means any message, notification, alert, communication, document, link, media, or other content sent by the Bank through an authorised channel.
“Third-Party Provider” means an external technology provider, messaging platform, telecom operator, service provider, cloud provider, payment or technology partner, or other entity engaged to support the Bank’s services.
“Personal Data” means information relating to an identified or identifiable individual and includes information treated as personal data under applicable Indian law.
3. Acceptance of Terms
By using the Bank’s website, digital communication services, WhatsApp communication channel, RCS communication channel, or any related service, you agree to comply with these Terms and all applicable laws and regulations.
If you do not agree with these Terms, you should discontinue use of the relevant digital service and contact The Niphad Urban Co-operative Bank Ltd Niphad through an authorised communication channel.
Where a specific banking product or service has separate terms, those terms will continue to apply. In the event of an inconsistency, the applicable product-specific agreement or regulatory requirement may prevail to the extent legally required.
4. Description of Services
The Niphad Urban Co-operative Bank Ltd Niphad may provide digital communications for purposes including, but not limited to:
- Account and service notifications;
- Transaction-related alerts;
- Customer service communications;
- Banking product information;
- Application and service-status updates;
- Authentication and verification communications;
- Security alerts;
- Service reminders;
- Branch or service-related information;
- Customer-requested communications;
- Regulatory or legally required notices;
- Fraud-prevention and security communications; and
- Other lawful communications relevant to the customer’s relationship with the Bank.
Availability of a particular service is not guaranteed at all times. Digital communications may be affected by internet connectivity, telecom networks, device configuration, platform availability, third-party infrastructure, maintenance, technical failures, or circumstances beyond the Bank’s reasonable control.
Digital messaging does not replace formal banking records, contractual documents, regulatory notices, or other legally required communications unless expressly stated by the Bank.
5. Eligibility
Use of the Bank’s digital communication services is subject to applicable law and the requirements of the relevant banking service.
You must provide accurate information and must not impersonate another person, misrepresent your identity, or use another customer’s contact information without lawful authority.
Where a customer is acting on behalf of an organisation, the individual must have appropriate authority to do so.
The Bank may restrict or discontinue access to digital communication services where it reasonably believes that continued access may violate law, regulatory requirements, security requirements, these Terms, or the rights of another person.
6. Account Registration
Where registration is required, customers must provide accurate, complete, and current information.
You are responsible for maintaining the confidentiality and security of credentials, authentication information, devices, passwords, PINs, OTPs, and other security mechanisms associated with your banking relationship.
The Bank will not ordinarily ask customers to disclose confidential credentials, passwords, PINs, or OTPs through an unsolicited communication.
You should immediately notify the Bank through an authorised channel if you suspect unauthorised access, impersonation, fraud, or misuse of your account or communication channel.
Registration for a messaging service does not by itself create a banking account or modify the terms of an existing banking product.
7. User Responsibilities
Users agree to use the Bank’s digital services responsibly and lawfully.
You must not:
- Use the service for unlawful, fraudulent, deceptive, abusive, or misleading activities;
- Attempt to gain unauthorised access to systems, accounts, APIs, or communication infrastructure;
- Interfere with or disrupt the Bank’s services;
- Submit malicious software, harmful code, or unauthorised automated requests;
- Impersonate the Bank, its employees, agents, customers, or third parties;
- Misuse official WhatsApp or RCS communication channels;
- Circumvent security or authentication mechanisms;
- Use communications received from the Bank for unlawful purposes; or
- Engage in conduct that violates applicable Meta, telecom, RCS, banking, privacy, or Indian legal requirements.
Customers are responsible for ensuring that their contact information remains accurate where the Bank permits customers to update such information.
8. Payment & Billing Terms
The Bank may provide certain banking, technology, messaging, or digital services without a separate customer-facing fee. Where any fee, charge, subscription, service cost, or applicable tax is payable, the Bank will communicate the applicable charges through the relevant service terms or authorised communication.
Where third-party messaging or technology charges are applicable, such charges may be subject to the commercial arrangements between the Bank and its service providers.
Customers remain responsible for charges imposed by their mobile network operator, internet service provider, or other third party for data, SMS, internet, or telecommunications usage.
Nothing in these Terms authorises the Bank to debit a customer’s account except in accordance with applicable account terms, valid instructions, disclosed charges, or applicable law.
9. Subscription Renewal & Termination
Where a digital service is offered on a subscription or recurring basis, the applicable service-specific terms will specify the subscription period, renewal conditions, applicable fees, and termination process.
The Bank may suspend, restrict, or terminate a digital communication service where:
- Required by law or regulatory direction;
- A security concern is identified;
- Fraudulent or abusive activity is suspected;
- The service is discontinued;
- A third-party platform becomes unavailable;
- The customer requests termination;
- The customer relationship or relevant banking service ends; or
- Continued service would expose the Bank or its customers to material legal, operational, or security risk.
Termination will not affect obligations that are intended to survive termination, including confidentiality, intellectual property, liability, dispute resolution, and legally required record-retention obligations.
10. Use of WhatsApp Official API & RCS
The Niphad Urban Co-operative Bank Ltd Niphad may use authorised WhatsApp Business Platform capabilities and RCS/business messaging services for legitimate business communications.
Where WhatsApp is used, communications are subject to applicable Meta policies, WhatsApp Business Terms, Business Messaging Policies, commerce requirements, privacy requirements, and other platform rules.
Where RCS is used, communications are subject to applicable RCS specifications, Google or messaging-platform requirements, telecom operator requirements, aggregator policies, and applicable Indian telecom and privacy laws.
The Bank will seek to use these channels only for legitimate and appropriate business communications and will not intentionally use them to distribute unlawful, fraudulent, deceptive, abusive, or prohibited content.
The availability of WhatsApp or RCS does not mean that every customer will receive every message. Delivery may depend on customer consent, platform eligibility, telecom availability, device compatibility, network conditions, message-template approval, platform restrictions, and other technical factors.
11. Message Delivery & Compliance Policy
The Bank aims to send communications that are relevant to the customer’s relationship with the Bank and appropriate to the selected messaging channel.
Where consent is legally or contractually required, the Bank will obtain and maintain appropriate consent or another lawful basis for processing and communication.
Customers may receive transactional, service, security, or regulatory communications where permitted or required by law, even if they have opted out of certain promotional communications.
The Bank will not intentionally use its official messaging channels to send spam, deceptive messages, malicious links, fraudulent investment opportunities, illegal content, or communications that violate applicable platform policies.
Message frequency may vary depending on customer activity, service requirements, security events, regulatory obligations, and customer preferences.
No digital message should be treated as an instruction to disclose OTPs, PINs, passwords, card security codes, or other confidential authentication information.
Customers should independently verify suspicious communications through official Bank channels.
12. Intellectual Property Rights
All intellectual property rights relating to the Bank’s website, branding, logos, service materials, text, graphics, designs, software, and original content are owned by or licensed to The Niphad Urban Co-operative Bank Ltd Niphad, except where otherwise stated.
Nothing in these Terms grants a customer ownership of the Bank’s intellectual property.
The Bank’s name, trademarks, logos, and branding must not be copied, modified, reproduced, or used in a manner that suggests unauthorised affiliation or endorsement.
Third-party platform trademarks, including WhatsApp and RCS-related marks, remain the property of their respective owners.
13. Confidentiality
The Bank recognises the confidential nature of customer and banking information and will handle such information in accordance with applicable law, contractual obligations, regulatory requirements, and the Bank’s Privacy Policy.
Users must also protect confidential information received through the Bank’s services.
You must not share confidential account information, authentication credentials, or sensitive banking communications with unauthorised persons.
Where disclosure is required by law, regulation, court order, law-enforcement request, or legitimate regulatory requirement, the Bank may disclose information to the extent legally permitted or required.
14. Disclaimer of Warranties
The Bank will take reasonable measures to maintain reliable digital services, but digital communication services are provided subject to technical availability and applicable law.
To the extent permitted by law, the Bank does not guarantee that:
- Every communication will be delivered instantly;
- Every message will be delivered;
- Services will remain continuously available;
- Third-party platforms will remain operational;
- Communications will be free from all technical interruptions; or
- Internet or telecom networks will function without interruption.
The Bank does not warrant uninterrupted availability where the service depends upon third-party infrastructure, telecom networks, internet services, or external messaging platforms.
Nothing in these Terms excludes any consumer, banking, statutory, or regulatory protection that cannot lawfully be excluded.
15. Limitation of Liability
To the maximum extent permitted under applicable Indian law, The Niphad Urban Co-operative Bank Ltd Niphad will not be liable for losses arising solely from circumstances outside its reasonable control, including telecommunications failures, internet outages, third-party platform outages, device failures, malware originating outside the Bank’s systems, or unauthorised acts by third parties.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by law, including liability that cannot lawfully be excluded.
Customers should not rely exclusively upon a digital message for urgent financial decisions. Where appropriate, customers should verify information through the Bank’s authorised channels.
16. Indemnification
To the extent permitted by law, a user may be responsible for losses, claims, costs, or reasonable expenses arising from the user’s unlawful use of the Bank’s digital services, misuse of communication channels, violation of these Terms, infringement of third-party rights, fraudulent conduct, or unauthorised activity attributable to the user.
This provision does not require a customer to indemnify the Bank for losses caused by the Bank’s own unlawful conduct or matters that cannot legally be transferred to the customer.
17. Governing Law (India)
These Terms shall be governed by and interpreted in accordance with the laws of India.
Applicable banking, co-operative society, information technology, telecommunications, data-protection, consumer-protection, and other relevant Indian laws and regulations may apply depending on the service involved.
Disputes shall be subject to the jurisdiction of the courts and competent authorities having jurisdiction under applicable Indian law, subject to any mandatory statutory dispute-resolution mechanism applicable to banking or co-operative banking services.
18. Changes to Terms
The Bank may update these Terms from time to time to reflect changes in services, technology, regulatory requirements, applicable law, security practices, messaging-platform requirements, or business operations.
Updated Terms may be published on the Bank’s website or otherwise communicated through an appropriate channel.
The revised Terms will become effective from the date specified in the updated version, unless a different effective date is required by law.
Customers are encouraged to review the Terms periodically.
